This Service Agreement governs the professional relationship between NumJumpTech (CR: 268615) and clients who commission services. It defines the project workflow, responsibilities of each party, revision terms, delivery process, and the conditions under which hosting and domain services are provided. By engaging NumJumpTech to deliver any service, you agree to the terms set out below.

1.

Each service engagement is governed by a project proposal agreed upon in writing before work commences.

2.

Project Workflow and Phases

All projects follow a structured delivery process consisting of the following phases:

Discovery and Brief: We gather all requirements, goals, and constraints before beginning any work.

Strategy and Planning: We define the scope, timeline, deliverables, and technical approach.

Design and Production: We produce the agreed work and submit it for client review.

Client Review and Feedback: The client reviews the work and submits consolidated feedback.

Revisions: We implement approved revisions within the agreed scope.

Final Approval: The client signs off on the completed work.

Delivery: Final files and assets are transferred upon receipt of full payment.

Each phase requires written approval before the next phase begins. Approval to proceed constitutes acceptance of the work completed in the prior phase.

3.

Client Responsibilities

The client is responsible for providing all materials and information necessary to complete the project, including:

Brand assets: logos, fonts, colour palettes, and brand guidelines.

Content: all written text, images, video, and media for use in the final deliverable.

Access credentials: hosting logins, domain access, CMS accounts, and any required third-party platform access.

Timely feedback and written approval at each project milestone.

Accurate business information, legal details, and registration data.

The client warrants that all content provided is owned or properly licensed, is accurate, and does not infringe any third-party rights. NumJumpTech assumes no liability for legal issues arising from client-provided content.

4.

Client Delays

NumJumpTech shall not be held responsible for any delays in project delivery resulting from actions or inactions by the client. Client delays include but are not limited to:

Late or incomplete submission of required content, materials, or brand assets.

Delayed approvals, feedback, or written sign-offs at any project phase.

Missing, inaccurate, or changing project requirements after the brief has been confirmed.

Additional requests or scope changes introduced after a phase has been approved.

Extended periods of client non-response or unavailability.

Failure to provide required access credentials or platform access.

In all such cases, the project timeline is automatically extended by the equivalent delay period. NumJumpTech reserves the right to reschedule the project accordingly.

Projects paused for more than 30 calendar days due to client inactivity may be subject to a reactivation fee before work resumes.

5.

Revision Policy

Each project includes a defined number of revision rounds as specified in the project proposal.

Revisions are adjustments within the approved scope and do not include new features, additional sections, structural redesigns, or changes to the fundamental creative direction.

All revisions must be submitted as a single consolidated list per round. Piecemeal or incremental revision requests may each be counted as a separate revision round.

Requests that fall outside the agreed scope will be treated as new work items and quoted separately.

Revisions or changes requested after final approval and delivery will be treated as a new project engagement.

6.

Delivery and Acceptance

Final deliverables are released in the agreed formats upon receipt of full and final payment.

The client has 7 calendar days from the date of delivery to raise any concerns regarding the final output. After this period, delivery is deemed accepted.

Upon full payment and delivery, ownership of all final deliverables transfers to the client. Preliminary concepts, rejected designs, and working files remain the property of NumJumpTech unless explicitly agreed otherwise in writing.

NumJumpTech retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.

7.

Payment Terms

All projects require a deposit payment before work commences. Deposit amounts and payment milestones are defined in the individual project proposal.

Final deliverables will not be released until full payment has been received.

All fees are exclusive of applicable taxes unless stated otherwise in the project proposal.

Outstanding balances not settled within the agreed timeframe may result in work being paused until payment is received.

8.

NumJumpTech may provide the following infrastructure services on behalf of the client:
